Terms of service

These general terms govern the subscription to and use of Styla by professionals and businesses. The service is intended exclusively for clients acting in the course of their business or profession: consumer protection rules (Italian Consumer Code, Legislative Decree 206/2005) therefore do not apply.

This is a translation provided for convenience. In the event of any discrepancy, the Italian version prevails.

1.Parties and scope

The contract is entered into between TP53 S.r.l., Via Pomposa 153, 44121 Ferrara (FE), Italia, VAT no. 02203290388 ("TP53"), and the business or professional that subscribes to a plan (the "Client"). These terms apply together with any commercial proposal or order form accepted by the Client, which prevails in case of conflict.

2.Definitions

  • Service: the Styla management software provided as SaaS, with its apps, features and updates.
  • Users: the people authorised by the Client to access the Service (owners, staff, receptionists).
  • Client Data: the data, including personal data of end clients and staff, entered in the Service by the Client or Users.
  • Plan: the chosen subscription level, with the included features, locations and Users.

3.Subject of the service

For the term of the contract, TP53 grants the Client a non-exclusive, non-transferable right to use the Service to manage its business: calendar and online booking, client profiles and cards, staff management, checkout and payments, reminders by SMS, email or messaging, inventory, reports and AI assistant, as included in the Plan. TP53 may update and improve the Service without materially reducing its essential features.

4.Formation of the contract

The contract is formed by accepting these terms online, by signing the commercial proposal or by making the first payment. Any free trial lasts for the period stated in the offer and, when it ends, becomes a subscription only if the Client confirms it.

5.Account and users

The Client warrants that the data provided is accurate, is responsible for keeping credentials safe and for the activities carried out by Users, and promptly informs TP53 of any unauthorised use. The Client assigns Users permissions consistent with their roles.

6.Fees and billing

  • Fees are those of the chosen Plan, stated excluding VAT, paid in advance monthly or annually.
  • Invoices are issued electronically through the Italian Exchange System (SdI); Clients established in Italy provide their recipient code or certified email (PEC).
  • Payment fees, SMS and usage-based services are charged according to the price list in force.
  • In case of late payment, the default interest set out in Italian Legislative Decree 231/2002 applies; 15 days after a reminder TP53 may suspend the Service.
  • TP53 may update prices with at least 30 days' notice, effective from the next renewal; a Client who does not accept may cancel before the renewal.

7.Term, renewal and cancellation

The subscription lasts for the chosen billing period and renews automatically for equal periods. The Client may cancel at any time from the account settings or by email: cancellation takes effect at the end of the current period and does not entitle the Client to refunds for the period already paid, unless the offer states otherwise.

8.Client obligations

The Client undertakes to:

  • use the Service in compliance with the law, in particular privacy, tax and commercial communications rules;
  • obtain from its end clients the necessary consents, for example to send promotional messages;
  • not upload unlawful content or attempt to bypass security measures, decompile or resell the Service;
  • keep business and billing data up to date.

9.Availability and support

TP53 undertakes to keep the Service continuously available, with a monthly availability target of 99.5%, excluding scheduled maintenance (announced in advance and carried out preferably outside opening hours) and causes not attributable to TP53. Support is provided via chat and email on working days; onboarding and data import from another management software are included according to the Plan.

10.AI assistant

The AI assistant prepares drafts and proposals based on Users' requests. Results may contain inaccuracies: the Client checks them before confirming and remains responsible for the decisions and communications sent to its clients. TP53 does not use Client Data to train artificial intelligence models.

11.Data and data protection

Client Data remains the property of the Client. For the personal data it contains, the Client is the controller and TP53 the processor under art. 28 GDPR, according to the Data processing agreement (DPA), which forms an integral part of the contract. Data for which TP53 is controller is processed according to the Privacy policy. TP53 may use aggregate and anonymous data to improve the Service.

12.Intellectual property

The Service, software, trademarks, graphics and documentation are the exclusive property of TP53 or its licensors and are protected by Italian Law 633/1941 and industrial property laws. No right is transferred to the Client beyond the licence of use provided for in the contract. TP53 may freely use any suggestions from the Client to improve the Service.

13.Limitation of liability

Except in cases of wilful misconduct or gross negligence (art. 1229 Italian Civil Code), TP53 is not liable for indirect damages, loss of profit, clients or data attributable to improper use of the Service. TP53's total liability for each contract year is limited to the amount paid by the Client in the 12 months before the event. TP53 is not liable for disruptions caused by telecommunications networks, payment providers, messaging operators or force majeure.

14.Suspension and termination

TP53 may suspend access in case of non-payment, a risk to the security of the Service or a request from the authorities. Under art. 1456 Italian Civil Code, TP53 may terminate the contract by written notice in case of breach of the clauses on fees, Client obligations and intellectual property. Either party may terminate the contract for a serious breach not remedied within 15 days of formal notice.

15.Effects of termination

When the contract ends, the Client may export its data in a readable format (for example CSV) for 30 days. After that period, and in any case within 90 days, TP53 deletes the Client Data, unless the law requires it to be kept.

16.Changes to the terms

TP53 may change these terms for technical, legal or commercial reasons, giving notice by email at least 30 days in advance. If the Client does not accept the changes, it may cancel by the effective date; otherwise the changes are deemed accepted.

17.Governing law and jurisdiction

The contract is governed by Italian law. The courts of Ferrara (Italy) have exclusive jurisdiction over any dispute concerning its validity, interpretation or performance.

18.Final provisions

If any clause is invalid, the others remain unaffected. The Client may not assign the contract without TP53's written consent. Communications between the parties are sent to the email address given in the account or to support@tp53health.com.

Specific approval. Under arts. 1341 and 1342 Italian Civil Code, the Client specifically approves the following clauses: 6 (Fees and billing: suspension and price changes), 7 (Term, automatic renewal and cancellation), 13 (Limitation of liability), 14 (Suspension and termination), 15 (Effects of termination), 16 (Changes to the terms), 17 (Governing law and jurisdiction).
